ProjectXL Terms and Conditions
Software License and Related Services Agreement
Version 2026-10-01 · Last updated October 12, 2026
1. Agreement, acceptance, and scope
These Terms and Conditions ("Terms") are between Transformative Management Solutions LLC, a Virginia limited liability company ("TMS," "we," "us," or "our"), and the individual or legal entity accepting them ("Customer" or "you"). They govern the ProjectXL add-in for Microsoft Excel, accompanying documentation and updates, and the related licensing, account, support, and online services included in your purchase or trial (together, the "Product").
You accept these Terms by ticking the "I agree to the terms" box on the order or trial form, or by entering into an order that expressly incorporates them. The form records the version of these Terms you accepted and the time of acceptance against your license. If you accept for an organization, you represent that you have authority to bind it. If you lack that authority, do not accept on its behalf. You must be at least 18 and legally able to enter into the agreement.
An "Order" means the completed checkout purchase, the free-trial request, an accepted written quotation, or a signed order form identifying your product, offer, license term, price, and other applicable commercial terms. The Order, these Terms, and any expressly incorporated addendum form the "Agreement."
ProjectXL is sold per email address. Enterprise hosting, consulting, implementation, and custom development are not included unless expressly identified in an Order and governed by any required supplemental terms. Product roadmaps, the public walkthrough, and demonstrations do not purchase or activate those services.
2. Order terms and priority
The order page shows, before you pay, the product, the current release phase, the offer and its price, a description of the access term, what the license includes, and the billing countries we sell to. Those statements form part of the Order. Every license sold today is prepaid and does not renew automatically (Section 6). We will not impose undisclosed material license restrictions afterward.
A signed agreement expressly modifying these Terms controls for its stated subject. A data processing addendum controls a conflict about the processing it covers. An Order controls price, offer, term, and expressly stated offer benefits, but does not otherwise change these Terms unless the change is expressly agreed by an authorized TMS representative. These Terms otherwise control over general documentation and website copy. Your purchase-order boilerplate does not amend the Agreement merely because we process the purchase.
The Privacy Policy explains personal-information practices; it is not a blanket consent to optional processing or a substitute for a required data processing agreement. Nothing in the Agreement limits privacy rights or other rights that cannot lawfully be limited.
3. License grant and authorized users
Subject to payment (where applicable) and compliance with the Agreement, TMS grants you a limited, non-exclusive, non-transferable license during the access term to install and use the Product for your own business or professional activities. This includes preparing work and delivering project-specific reports and other permitted outputs for your clients. The software is licensed, not sold.
One license, one person, up to three machines. A ProjectXL license is tied to one email address and is for the use of the one individual who controls that address. You may activate the Product on up to three machines at a time under one license. To move to a new machine, deactivate the old one from the License Management window in the add-in before you leave it, or contact support to release a machine you no longer have. Activation is limited to three new activations per license in any 24-hour period. A license may not be shared among different people, used as a concurrent-use pool, or rotated among active users. An organization that needs several users buys one license per user and may ask us to change the email address on a license when personnel change.
You may make reasonable backup copies of the installer, subject to the same restrictions. You may not resell, sublicense, rent, or operate the Product as a hosted software service for third parties unless an Order expressly authorizes it. Delivering your own project work to clients does not, by itself, constitute prohibited hosting.
You are responsible for use under your license and for protecting the email account to which it is tied, since that account is how the license is verified and how we send you notices. Notify support@djobu.com promptly of suspected unauthorized access. Do not use another person's license or bypass activation or machine limits.
4. Technical requirements, activation, and availability
ProjectXL is a per-user add-in for Microsoft Excel on Windows. You are responsible for obtaining a supported Windows PC and a licensed Microsoft 365 desktop Excel, and for the third-party software identified in the system requirements published with each release at https://github.com/transformativems/ProjectXL/releases/latest. Microsoft licenses are not included.
Verification and activation. Before first use you must verify your email address through the link we send and then activate the Product on your machine with that address; activation requires an internet connection. The Product then holds a signed license token on your machine.
Working offline. The token lets the Product work without contacting us for up to 30 days after it was last issued, or until your access term ends if sooner. After that, the Product needs an internet connection to revalidate your license before its main features are available again; it does not delete your license if revalidation is temporarily unavailable. The Product also revalidates when you ask it to from the License Management window and each time it starts after the offline period has passed. The Product is therefore not fully offline software.
Updates. The Product tells you when a newer build is available and offers a download link; it does not install updates on its own. Builds are published through our download channel, currently GitHub Releases. A license includes every build we publish during your access term for the release program in which you bought it (Section 9). We may retire insecure or unsupported builds on reasonable notice where practical.
Compatibility can be affected by Microsoft software changes, security requirements, or unsupported configurations. For a paid term, we will not materially reduce the purchased core functionality without offering a reasonable remedy, such as a comparable alternative you accept or a refund of prepaid fees for the unusable remainder. Nothing here limits non-waivable update or conformity obligations. Unless an Order includes a service-level agreement, no specific uptime, response time, or uninterrupted availability of the licensing service is promised; the offline period is designed so that ordinary service interruptions do not interrupt your work.
5. Fees, transaction seller, and taxes
You agree to pay the price and applicable taxes shown at checkout. Prices are set in United States dollars and shown before tax; tax is calculated at checkout from the billing address you enter. We may change prices for future purchases, but not retroactively for a prepaid term.
Who sells to you depends on your billing country. For a billing address in the United States or Canada, TMS is the seller; payment is processed by Stripe on Stripe's hosted checkout page, and the receipt comes from TMS. For a billing address in any other country we sell to, the sale is made through Stripe's Managed Payments service: Link, a Stripe company, is the merchant of record and seller of record; your receipt and any refund notice come from Link; the price may be shown and charged in your local currency at Link's exchange rate; and your order history is available at link.com. In both cases TMS is the software licensor and your product-support contact, and your license is issued and administered by TMS.
Billing country. You select your billing country on our order page before checkout, and the billing address you enter at checkout must be in that country. We sell only to the countries listed on the order page; an order with another billing country is refused before payment. If the address you give at checkout does not match the country you selected, we may review the order and contact you.
Where Link is the seller, Stripe's standardized payment terms apply to the payment transaction, Link may issue refunds under its own policies (Section 8), and Link handles payment disputes. Those terms govern the payment; this Agreement governs the software license. A payment-provider change does not, by itself, authorize new charges, a different renewal arrangement, or reduced rights under an existing Order.
You must provide accurate billing information. We do not collect tax identification numbers at checkout; if you need an invoice that shows your organization's tax details, contact support@djobu.com or, for a Link sale, Link. We do not charge undisclosed fees merely because you request cancellation or exercise a statutory right.
6. Prepaid, non-renewing licenses
Every ProjectXL license sold today is prepaid and non-renewing. You pay once; no payment method is saved by TMS for future charges, and purchasing a license does not authorize any recurring charge.
Early-access licenses run until one year after the production release. The Alpha license and the Beta license each grant access from purchase through the end of the first year after ProjectXL's production release. The production release date is not fixed when you buy. Until it is, your access has no end date; when we schedule the production release, your end date becomes fixed at one year after it, and we email you that date. Nothing is due at that point and nothing changes in the Product. We will remind you by email 30 days, 7 days, and 1 day before your access ends.
A non-renewing license does not become a subscription merely because TMS later introduces subscriptions, changes the product's release status, or because a payment provider stores a payment method. Any later subscription requires a new, clearly disclosed purchase and the consent required by applicable law. When your access ends, you may buy whatever offer is then current, including any subscription then available, within the window shown in the reminder emails.
7. Auto-renewing subscriptions - not currently offered
TMS does not currently sell auto-renewing subscriptions, and the Product and checkout do not support them. This section applies only if, in the future, your Order clearly identifies an auto-renewing subscription and you separately and affirmatively authorize recurring charges. Otherwise, Section 6 applies.
Renewal and charge authorization. A subscription renews for the billing interval shown at checkout until canceled. Checkout identifies the initial amount, recurring amount or calculation, billing frequency, first renewal date or its calculation, and any minimum commitment. You authorize the disclosed seller to charge the selected payment method accordingly. Your acceptance of general Terms is not a substitute for any separate consent legally required for recurring charges.
Cancellation. You may stop future renewal by contacting support@djobu.com. For purchases through Link, the receipt also identifies Link's cancellation route. Online enrollment has an online cancellation method. Cancellation takes effect for future renewals when submitted; it does not require completion of a retention offer or a conversation with sales. You receive confirmation. Unless you request immediate termination or another legal or contractual right applies, paid access continues through the end of the current term.
Notices and changes. We or the transaction seller provide required acknowledgments, renewal reminders, and notices of trial expiration or material changes. A renewal-price increase applies only after the notice required by applicable law before the affected renewal, and any required consent. Failed payments. Before suspending access for a failed payment, we ordinarily provide notice and an opportunity to correct it, except where security, fraud, or law requires immediate action.
8. Refunds and billing questions
Our refund commitment. If you are not satisfied with a paid license, ask us for a full refund within 14 days of purchase and we will issue it. Except for that commitment, an applicable seller's policy, these Terms, or mandatory law, purchases are non-refundable, and the end of your access does not entitle you to a prorated refund for an unused portion.
Effect of a refund. A full refund ends your license and your access to the Product's licensed features immediately; the Product will tell you so at its next validation. A partial refund does not change your license. If you dispute a charge with your bank or card issuer and the dispute is resolved against TMS or Link, your license ends in the same way. A refund never affects the ownership of your workbooks or project data (Section 10).
Purchases through Link. For a sale where Link is the seller, Link may issue a refund under Stripe's Managed Payments terms, including within 60 days of the transaction in certain cases, and Stripe may issue a refund without our approval if a support request to Link is not answered within 48 hours. If Link refunds a purchase in full, your license ends as described above. Link's refund confirmation comes from Link; we separately email you that your access has ended.
The rules above do not limit remedies for an unauthorized or duplicate charge, failure to supply a paid entitlement, a breach for which a refund is due under this Agreement, or applicable consumer cancellation, withdrawal, or conformity rights. If our system detects that you bought a license for an address that already holds one, the duplicate purchase is not applied and we refund it. Contact support@djobu.com or the seller identified on your receipt with billing questions.
Where consumer law requires a cancellation or withdrawal notice, form, or separate permission to begin digital delivery during a withdrawal period, the seller will provide it through the purchase process. These Terms alone do not waive those rights.
9. Early access, free trials, and release phases
ProjectXL is released in phases: Alpha (current), Beta, and Production. Alpha and Beta are "Early Access." Early Access may contain defects, change substantially, lack final documentation, or require data migration between builds. Use appropriate backups and validate outputs before relying on them in production work. Experimental features are not a substitute for your own project controls or independent verification.
What an Early Access license buys. The Alpha license and the Beta license each include: use of ProjectXL from purchase through the end of the first year after the Production release (Section 6); every build we publish during the current release program; activation on up to three machines; and email support. Expressly promised benefits remain binding. Unless the Order expressly says otherwise, an Early Access purchase does not grant a perpetual license, lifetime upgrades, a discount on later purchases, access to other products, or a guaranteed release date for Beta or Production.
Free trial. We offer a free 7-day trial of ProjectXL in every phase. No payment method is required. The trial starts when you verify your email address and ends 7 days later; we email reminders 3 days and 1 day before it ends. One trial is available per email address per product: an address that has ever held a verified ProjectXL license cannot start another trial. A trial does not convert into a paid license or any charge; to continue, you buy a license, which replaces the trial on the same email address.
Invited and complimentary licenses. We may issue complimentary licenses with a stated access period, for example to participants in the closed alpha or to reviewers. Such a license is subject to these Terms, carries no payment, and ends on its stated date unless we extend it.
An Early Access license is non-renewing. We may change or discontinue experimental features. If we discontinue a paid Early Access entitlement before its promised end and cannot provide a reasonably equivalent alternative you accept, we will refund the prepaid fee attributable to the remaining term or provide any more favorable remedy required by the Order or law.
10. Customer content, outputs, and limited permissions
"Customer Content" means project data, workbooks, schedules, budgets, resource information, imports, attachments, AI prompts, and other materials that you or your users enter into the Product or provide to us for support.
As between you and TMS, you retain your rights in Customer Content and your project-specific reports, calculations, and outputs, subject to pre-existing TMS and third-party intellectual property. Customer Content never leaves your computer through the Product except to the AI provider you configure (Section 13). TMS does not receive, store, or claim ownership of your project data, and does not claim ownership of your project-specific content merely because the software calculated, formatted, or displayed it.
You grant TMS only the permission needed to access, process, store, and reproduce Customer Content that you actually send to us for support, to answer your request, diagnose the reported problem, test a correction, and fulfill applicable legal obligations. This permission extends to our service providers only for those purposes and under appropriate restrictions. It does not authorize sale of Customer Content, advertising uses, public demonstrations, or AI model training. Any broader optional use requires a separate agreement and legally required permission.
You represent that you have the rights and authority needed to use and disclose Customer Content for the requested purpose, including anything you send to an AI provider. That responsibility does not excuse TMS from complying with its own duties. Where legally required, the parties will put an appropriate data processing agreement in place before we receive personal information for processing on your behalf.
11. Confidentiality and support materials
Each party must protect the other party's nonpublic information disclosed in connection with the Agreement that is identified as confidential or reasonably should be understood as confidential. Customer project content received by TMS is confidential whether or not marked. Confidential information excludes information the receiving party can demonstrate is public without breach, already lawfully known without restriction, independently developed, or lawfully received without a confidentiality duty.
A receiving party may use confidential information only to perform or exercise rights under the Agreement and may disclose it only to personnel, advisers, and providers with a need to know and appropriate confidentiality duties. It must use reasonable care, and at least the care it uses for its own comparable information, to protect it. Required legal disclosure is permitted, with prior notice where lawful and reasonably practical and reasonable efforts to limit the disclosure.
Support is by email. Send only the materials reasonably needed to diagnose the issue, and remove unnecessary sensitive information first. TMS's access to a support file does not give it unrestricted use of the project. We retain or delete support materials according to the Privacy Policy, your applicable instructions, and legal obligations. Public use of identifiable examples, your name, or your logo requires separate permission. Confidentiality obligations survive termination for 3 years, and for trade secrets for as long as they remain legally protected trade secrets; applicable personal-data duties continue as required by law.
12. Project calculations, professional judgment, and backups
ProjectXL is a planning and project-control tool. You are responsible for reviewing source data, assumptions, calendars, resource and rate settings, baselines, imports, mappings, calculation status, and outputs before using them for business decisions or external submissions. Verify that calculations reflect the intended inputs and the latest required processing; an unsaved change or an unrun schedule calculation can affect what a report represents.
The Product does not, by itself, certify an earned value management system, guarantee compliance with a contract or government requirement, or replace professional judgment, audit, or legal or financial advice. Any separate TMS consulting engagement is governed by its own written scope.
Your workbook is the plan: all governed project data lives in the workbook file and its sidecar files, and backing up or archiving a plan is a file operation that you control. Maintain appropriate independent backups and test imports, bulk changes, migrations, and new builds before applying them to critical records. Snapshots inside a workbook are not a promise of off-device backup or recovery. These responsibilities do not remove remedies for TMS's breach or obligations that cannot be excluded by law.
13. AI features and external integrations
The AI assistant is optional and works only with an API key you obtain from a supported provider (currently Anthropic, OpenAI, Google, and xAI) and enter into the add-in. The add-in sends your prompts and selected project context (project identifiers, structure summaries, activity codes, validation findings, and anything you attach) directly from your computer to the provider you selected. TMS does not route, receive, store, or pay for that traffic.
Your provider relationship. Your use of a provider is governed by your agreement with it, including its fees, usage limits, retention, and training practices. You are responsible for your provider accounts and keys and for having the right to send Customer Content to the provider. The add-in does not set provider retention or training options; configure them in your provider account where offered. TMS makes no representation about any provider's practices. Your organization must authorize use of the assistant where its policies require it.
Output. AI output may be incorrect, incomplete, inconsistent, or non-unique. The assistant is advisory only: it cannot write to your workbook or run calculations, and any action it suggests happens only if you perform it. Review output before use, including checking source facts, calculations, and suitability. Do not treat it as a guaranteed forecast, compliance determination, or authoritative instruction. The Agreement does not guarantee copyright protection or exclusivity in AI-generated output.
The Product's import of Microsoft Project files reads a file on your computer; it does not connect to Project Online or any Microsoft cloud service. A provider may change or discontinue its service, and we do not warrant a third-party product, but this does not excuse any express commitment in your Order. No AI or integration provision broadens the Customer Content permissions in Section 10.
14. Acceptable use, restricted information, and trade compliance
You may not use the Product unlawfully, infringe others' rights, introduce malicious code, disrupt our services, attempt unauthorized access, bypass license controls or machine limits, remove proprietary notices, or reverse engineer or decompile the software except to the extent applicable law expressly permits despite this restriction. Third-party and open-source components remain subject to their applicable license terms. Nothing here restricts rights those licenses grant.
Do not send classified information, export-controlled technical data, controlled unclassified information, protected health information, or similarly restricted material to TMS by support email or to a remote AI provider unless the specific channel and processing arrangement have been approved in writing and the required legal and contractual safeguards are in place. Routine support email is not an approved restricted-data channel.
This transmission restriction is not a prohibition on lawful use of the desktop software within an appropriately authorized customer-controlled environment; because project data stays in your workbooks, you decide whether that environment meets your requirements. No particular government authorization, FedRAMP status, CMMC status, data residency, or regulated-workload suitability is represented unless expressly identified in a signed agreement.
You and TMS must comply with applicable export-control and sanctions laws relevant to the transaction and use. We sell only to the billing countries listed on the order page. You may not make the Product available to prohibited persons or destinations or for prohibited end uses. The Product is not licensed as the sole control for safety-critical systems where failure could directly cause death or serious injury.
15. TMS intellectual property and feedback
TMS and its licensors retain the software, documentation, templates, tutorial content, methods, trademarks, and other pre-existing intellectual property, excluding your Customer Content. You may reproduce elements of our templates within your own project deliverables as the Product permits, but may not distribute the software or reusable template library as a competing standalone product without permission.
You may voluntarily provide suggestions about the Product, including through our community forum. You grant TMS a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback. This license excludes your Customer Content, confidential project details, and personal information and does not permit us to identify you publicly without permission. Nothing restricts reviews, lawful disclosures, or other communications protected by applicable law.
16. Support, maintenance, and product changes
Every license and trial includes email support at support@djobu.com. Support does not include custom development, professional project management, data reconstruction, or a guaranteed response or resolution time unless expressly purchased. Our community forum is a separate, optional service operated on Discourse under its own terms.
We may change the Product to improve it, maintain security, or respond to legal or technical changes. Purchased core functionality is protected as described in Section 4. We will provide reasonable notice of a material discontinuation affecting a paid term when practical and an appropriate unused-term refund where the promised functionality is not supplied. An advertised future feature is not part of an Order unless expressly included, but this clause does not negate specific promises made in your accepted offer.
17. Suspension, termination, and effect on your data
We may suspend affected access when reasonably necessary to address a material breach, a serious security threat, unlawful use, license sharing, or a legal requirement. Suspension will be proportionate to the issue. Where practical and lawful, we provide notice and a reasonable opportunity to resolve it before suspension and restore access promptly after resolution.
Either party may terminate for the other's material breach if it remains uncured 30 days after written notice. Immediate termination is permitted for a breach that cannot reasonably be cured or where continued performance would be unlawful. TMS does not acquire an unrestricted right to cancel a paid term without supplying the promised service or an appropriate refund.
What happens when access ends. When your access term ends, or your license ends by refund, dispute, or termination, the Product's licensed features stop at its next license check: the ProjectXL task pane, the AI assistant, the views, and the tutorial are disabled, and the ribbon shows that the license has ended. The License Management window stays available so you can see your status, refresh after a new purchase, or deactivate a machine. The Product does not lock, encrypt, or alter your workbooks: your project data is stored as ordinary Excel content and remains fully readable, editable, and printable in Excel, and you can continue to use Excel's own formulas, pivot tables, and charts on it. Values last written by ProjectXL remain as they were; ProjectXL's scheduling, cost, snapshot, and analysis functions are not available until a license is active again. There is no separate read-only or export period because none is needed to reach your data.
On expiration or termination, stop using the licensed features and remove unlicensed copies of the installer, but keep your own workbooks and permitted outputs. Expiration does not transfer ownership of those files or authorize TMS to delete anything in your environment. TMS handles the personal information it holds under the Privacy Policy and legal requirements.
If you terminate because of TMS's uncured material breach, or TMS discontinues a paid service without providing the promised functionality or an accepted alternative, the unused prepaid portion is refundable. Accrued lawful payment obligations, ownership, confidentiality, restrictions, applicable remedies, liability provisions, and dispute terms survive as necessary to give them effect.
18. Limited warranty and disclaimers
For paid Production-release software, TMS warrants during the purchased term that, when used in a supported configuration according to its documentation, the Product will materially conform to the published functional documentation applicable to the purchase. Report a nonconformity with reasonable detail to support@djobu.com. TMS will use reasonable efforts to correct it or provide a workaround. If it cannot do so within a reasonable period, you may terminate the affected license and receive a refund for the unused prepaid portion, subject to any additional mandatory remedy.
This warranty does not cover a problem caused by unauthorized modification, misuse, unsupported configurations, or third-party components outside TMS's control, except to the extent TMS is legally responsible. Early Access (Alpha and Beta) builds and free trials are provided "as is" and "as available," without this contractual conformity warranty, but remain subject to express Order promises, the Section 8 refund commitment, and mandatory law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR EXPRESS COMMITMENTS IN THE AGREEMENT, TMS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE ERROR-FREE OPERATION, A PARTICULAR PROJECT OUTCOME, OR THAT EVERY DEFECT WILL BE CORRECTED. NOTHING EXCLUDES NON-WAIVABLE WARRANTIES OR LEGAL OBLIGATIONS.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TMS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR CONSEQUENTIAL LOSSES ARISING FROM INACCURATE OR LOST DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
TMS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID OR PAYABLE BY YOU FOR THE AFFECTED PRODUCT DURING THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. RELATED CLAIMS SHARE ONE CAP.
These limitations do not limit refunds expressly due, liability for fraud or willful misconduct, gross negligence to the extent it cannot lawfully be limited, death or personal injury to the extent caused by conduct for which liability cannot be limited, or any other liability that applicable law does not permit to be excluded or limited. They do not limit a person's rights against a regulator or under non-waivable privacy or consumer law. No separate cap in another document applies unless expressly agreed.
20. Business-customer third-party claims
For a business customer, you will defend TMS against a third-party claim to the extent caused by Customer Content that you supplied to us or to an AI provider without necessary rights, or by your materially unlawful use of the Product, and pay damages and reasonable costs finally awarded or agreed in a settlement you approve. This does not cover a claim caused by TMS's breach, negligence, unauthorized processing, or modification of content outside your instructions. This clause does not apply to an individual purchasing primarily for personal, family, or household purposes.
TMS must promptly notify you, provide reasonable cooperation at your expense, and allow you to control the defense with competent counsel, except where a conflict or applicable law requires otherwise. A settlement may not admit TMS fault, impose nonmonetary obligations, or fail to fully release TMS without its reasonable written consent. No TMS intellectual-property defense obligation is implied; any such undertaking must be expressly agreed.
21. Governing law and dispute resolution
The Agreement is governed by the laws of the Commonwealth of Virginia, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. Subject to mandatory law, the state and federal courts located in Virginia have exclusive jurisdiction, and the parties consent to those courts.
The parties will first make a reasonable, good-faith attempt to resolve a dispute through support@djobu.com, without delaying urgent relief, statutory complaint rights, or the time to file a claim. For qualifying consumers, mandatory local protections and legally required access to local courts remain available. These Terms do not impose arbitration, a class-action waiver, or a shortened statutory limitation period.
22. Changes to the Agreement and notices
We may update these Terms for future purchases and trials by publishing the updated version at https://djobu.com/terms/projectxl with a new version date before it applies; the version you accepted is recorded with your license. Material changes to an existing paid term require your agreement, except for changes required by law or necessary to address an urgent security issue that are narrowly tailored, with notice as soon as practical and an appropriate remedy where legally required. A posted change does not retroactively reduce an already purchased entitlement or authorize new recurring charges.
Notices to you are sent to the email address on your license. You must keep that address current; you can ask us to change it. Legal notices to TMS go to support@djobu.com. Opting out of marketing email does not stop necessary contractual, security, or transactional notices.
23. General provisions
Neither party may assign the Agreement without the other's consent, except in a merger, reorganization, or sale of substantially all relevant assets where the successor assumes the Agreement and applicable law permits. No assignment expands the permitted use of Customer Content or reduces non-waivable rights. Changing the email address on a license at your request, or your organization asking us to reassign a license to a new employee, is not assignment of the Agreement.
Neither party is liable for a delay caused by events beyond its reasonable control, but this does not excuse fees already due, security or confidentiality duties, mandatory obligations, or an appropriate remedy for prolonged inability to supply prepaid services. If a provision is unenforceable, it is limited or severed only as necessary, and the remainder continues. Failure to enforce a provision is not a waiver. The Agreement is the entire agreement for its subject matter, without excluding liability for fraudulent misrepresentation or rights that cannot be excluded. No third party receives enforcement rights except as expressly stated or required by law.
